Nature of Our Services

RBD Marketing will provide services in accordance with the scope agreed with the client.

Unless expressly stated otherwise in writing, our services are provided on a professional, best-efforts basis. We will use commercially reasonable skill, care and diligence in performing the agreed work.

Marketing, advertising, SEO and digital growth activities depend on many factors outside our direct control. Accordingly, unless specifically guaranteed in a written agreement, we do not guarantee:

  • Specific search engine rankings;
  • A particular number of leads;
  • A particular number of sales or conversions;
  • Specific website traffic levels;
  • A specific return on advertising spend;
  • Revenue or profit outcomes;
  • Social media engagement or follower growth;
  • Approval or continued availability of advertising accounts; or
  • Any particular business result or timeframe.

Past performance, case studies, examples, projections or estimates should not be interpreted as guarantees of future results.

Third-Party Platforms and Services

Our services may rely on or interact with third-party platforms and services, including but not limited to Google, Meta, LinkedIn, YouTube, Microsoft, Shopify, WordPress, hosting providers, payment processors, analytics platforms and other technology providers.

Such platforms are independently operated and may change their algorithms, policies, technical requirements, pricing, features, availability or enforcement practices without notice.

RBD Marketing is not responsible for actions taken by third-party platforms, including account suspension, restriction, disapproval, policy enforcement, algorithm changes, service interruptions, loss of access, changes in functionality or termination of third-party services, except to the extent such liability cannot lawfully be excluded.

Where services require access to a client’s third-party account, the client is responsible for ensuring that the account is lawfully owned or controlled by the client and that RBD Marketing has been properly authorized to access it.

Advertising Accounts and Media Spend

Where RBD Marketing manages paid advertising campaigns, advertising spend paid to Google, Meta or another advertising platform is separate from RBD Marketing’s professional fees unless expressly stated otherwise.

The client remains responsible for maintaining sufficient advertising budgets and valid payment methods associated with relevant advertising accounts.

Advertising results may fluctuate due to competition, audience behavior, platform policies, market conditions, creative performance, bidding conditions and other factors outside our control.

RBD Marketing does not guarantee that an advertising platform will approve, continue, deliver, optimize or maintain any campaign or account.

Client Responsibilities

The client agrees to provide information, materials, approvals, access and cooperation reasonably required for us to perform the services.

The client is responsible for ensuring that information, claims, products, services, pricing, trademarks, images, videos, documents and other materials supplied to RBD Marketing are accurate and lawful.

Where delays are caused by the client, including delayed approvals, incomplete information, unavailable access, account restrictions or failure to provide required materials, project timelines may be extended accordingly.

The client remains responsible for the legal compliance of its own business, products, services, offers, advertising claims and customer-facing activities.

Approvals and Revisions

Where client approval is required, the client is responsible for reviewing and approving materials within a reasonable timeframe.

Once content, designs, advertisements, websites or other deliverables have been approved by the client, subsequent changes requested by the client may be treated as additional work.

The number of revisions, revision process and approval requirements may be specified separately in the applicable Service Agreement.

Requests that materially exceed the agreed scope may result in additional charges and/or revised timelines.

Fees and Payment

All fees will be communicated and agreed upon through the applicable proposal, quotation, invoice, Service Agreement or other written arrangement.

Unless otherwise agreed:

  • Invoices are payable according to the stated payment terms.
  • RBD Marketing may suspend work where an invoice becomes overdue.
  • Deliverables may be withheld until applicable payments are received.
  • Additional work outside the agreed scope may be charged separately.
  • Applicable taxes, government charges, transaction fees or other statutory charges may apply.

The client remains responsible for payments that became due before suspension or termination of services.

Refunds and Cancellations

Unless otherwise stated in a written Service Agreement or required by applicable law, payments for completed work, services already delivered, committed third-party costs or work already in progress are non-refundable.

Cancellation terms, notice periods and any applicable refund provisions may be specified separately for individual services or engagements.

Third-party charges paid or committed on behalf of a client may be non-refundable where the relevant third party does not provide a refund.

Intellectual Property

RBD Marketing retains all rights, title and interest in its pre-existing intellectual property, including proprietary methodologies, strategies, processes, frameworks, templates, systems, concepts, know-how, internal tools and reusable resources.

Unless otherwise stated in writing, such materials do not become the property of the client merely because they are used while performing the services.

Subject to full payment of all applicable fees, ownership or usage rights in specifically commissioned final deliverables will be transferred or licensed to the client as specified in the applicable Service Agreement.

Third-party materials, software, plugins, fonts, stock assets, libraries, templates and other licensed resources remain subject to the applicable third-party licence terms.

Client Materials

The client retains ownership of materials supplied to RBD Marketing.

By providing such materials, the client grants RBD Marketing the necessary permission to use, reproduce, modify, adapt and otherwise process those materials solely to perform the agreed services.

The client represents that it has the necessary rights, licences and permissions to provide such materials and authorize their use.

The client will be responsible for claims arising from materials supplied by the client that infringe the rights of another person or entity.

Website Design and Development

Where RBD Marketing provides website or development services, the following may apply unless otherwise stated in the relevant Service Agreement:

  • Domain registration, hosting, premium plugins, themes, software licences and third-party services may be charged separately.
  • Third-party platform functionality may change or become unavailable.
  • Client-requested changes outside the agreed scope may incur additional charges.
  • Client delays in providing content, approvals or access may affect delivery timelines.
  • Ongoing maintenance, security updates, hosting and technical support are not included unless expressly agreed.
  • Website performance may depend on hosting, plugins, third-party integrations, browsers, devices, networks and other external factors.

A website launch or completion does not constitute a guarantee of specific SEO rankings, traffic, sales, conversions or revenue.

SEO and Organic Search Services

SEO results depend on search engine algorithms, competition, website quality, technical factors, content, user behavior, industry conditions and numerous other variables.

RBD Marketing does not guarantee first-page rankings, specific keyword positions, permanent rankings, indexed pages, traffic levels or any particular commercial outcome unless expressly agreed in writing.

Search engines may update their algorithms and policies at any time, and such changes may affect performance.

Confidentiality

Each party agrees to use reasonable measures to protect confidential information received from the other party.

Confidential information may include business plans, strategies, customer information, credentials, financial information, technical information, marketing data, proprietary processes and other non-public information.

Confidential information does not include information that:

  • Is publicly available without breach of these Terms;
  • Was lawfully known before disclosure;
  • Is independently developed without reliance on confidential information; or
  • Must be disclosed under applicable law or lawful authority.

These confidentiality obligations survive termination of the relevant engagement to the extent reasonably required by their nature.

Privacy and Data Protection

Where additional contractual or data-processing arrangements are required for a particular engagement, those arrangements may be documented separately.

All trademarks, service marks, logos and brand names remain the property of their respective owners.

Portfolio and Marketing Use

Unless otherwise agreed in writing, RBD Marketing may identify completed client work and use non-confidential examples of completed work for legitimate portfolio, case-study, presentation and marketing purposes.

Where a client requires a project to remain confidential or prohibits public reference, such restriction should be expressly agreed in writing.

We will not knowingly publish information that has been expressly identified as confidential.

RBD Marketing reserves the right to decline, suspend or terminate work that it reasonably believes:

  • Violates applicable law or regulation;
  • Infringes third-party rights;

  • Requires manipulation of platforms in violation of their policies;
  • Involves prohibited or restricted activities; or
  • Creates material legal, security or reputational risk for RBD Marketing.

Refusal of work under this section does not waive any payment obligation relating to services already performed or costs already incurred.

Third-Party Links

Our website may contain links to third-party websites, platforms or services.

Such links are provided for convenience or informational purposes and do not necessarily constitute an endorsement.

RBD Marketing does not control third-party websites and is not responsible for their content, availability, security, policies or practices.

Your use of third-party services is governed by the applicable third party’s terms and policies.

Limitation of Liability

To the maximum extent permitted by applicable law, RBD Marketing will not be liable for indirect, incidental, special, consequential or exemplary losses, including loss of profits, revenue, business opportunities, goodwill, anticipated savings, data or other intangible losses arising from or relating to the use of our website or services.

This limitation includes losses arising from circumstances outside our reasonable control, including third-party platform changes, advertising account restrictions, search engine algorithm changes, hosting failures, service interruptions or actions taken by external providers.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Where liability is legally capable of being limited, RBD Marketing’s aggregate liability will be limited to the amount paid to RBD Marketing for the specific services giving rise to the claim, unless otherwise agreed in writing or required by applicable law.

Indemnification

To the extent permitted by applicable law, the client agrees to indemnify and hold harmless RBD Marketing, its directors, employees, contractors and representatives against claims, losses, liabilities, damages, costs and reasonable expenses arising from:

  • The client’s unlawful business activities or advertising claims;
  • The client’s misuse of third-party platforms; or
  • The client’s violation of applicable laws or third-party terms.

  • Fraudulent or unlawful activity;
  • Abuse or misuse of our services;
  • Security concerns;
  • Repeated failure to provide necessary cooperation; or
  • Other circumstances permitted under the applicable Service Agreement or law.

Where no separate dispute-resolution provision applies, disputes shall be subject to the jurisdiction of the courts of Dehradun, Uttarakhand, India only, subject to applicable law.

Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be modified or severed only to the extent necessary, and the remaining provisions shall continue in full force and effect.
